If you are about to sell or acquire a business, it is essential that you have an experience business attorney, like the attorneys at Lanard and Associates, on your side to help with all the issues that may arise. If you are selling, can the transaction be an "AS IS" transaction? This eliminates many of the issues surrounding the representations and warranties that a seller will have to provide to a buyer. Is there money that will be owed to the seller? If so, what secures that loan? A promissory note will have to be prepared. If you are buying a business, you should expect representations and warranties from the seller regarding seller's assets and seller's rights to sell those assets. You will also want to make sure that the purchase agreement is favorable to you and protects you. For example, you will want to make sure that any conditions of the transaction are clearly specified in the purchase agreement. ★ 5★ 4★ 3★ 2★ 1I just wanted to share my experience with Nancy Lanard. She was incredibly helpful and thoughtful during our conversations. She has a great eye for detail and quickly understands the core of the issue. Out of all the attorneys I’ve spoken with, she stood out. I highly recommend working with her—you’ll be in great hands.
August 08 · Maryam EmamiI requested a consult with Nancy to clarify some questions about commercial leasing. Nancy was incredibly responsive, knowledgable and empathetic during our consultation. I really appreciated her creative ways of approaching my concerns and her ability to pick up on and incorporate my strengths and goals into her recommendations. I highly recommend Nancy to anyone needing the services of a Business Attorney. I will definitely seek out Nancy and her firm for my future needs.
July 12 · Kristin JacksonI initially found Lanard and Associates through a Google search. After reaching out by email, I received a prompt reply along with several very helpful links (videos, resources and articles) to review. Being new to franchising, and just starting to review the FDD of a franchise I was considering, the content was very informative and helpful. Nancy Lanard and I then had our initial consultation and I have to say that I am thoroughly impressed! I have run a marketing agency serving law firms for 5 years and have worked with at least a couple hundred attorneys during that time. So, before meeting with her, I took the time to check her out online. She is without a doubt one of the if not THE leading attorney in her space. When we got on the phone Nancy was professional, extremely knowledgeable, very friendly, an excellent communicator and provided exactly the advice I needed, to know how to proceed (or not to proceed) with this particular franchise opportunity. She offered additional resources to assist me after our call as well. She spoke with me and helped me like she was speaking with a friend. If your are considering becoming a franchisee, call her. I could not recommend her highly enough!
November 05 · Michael VeinbergsBeing new to the world of franchising, reading through and understanding FDD & FA documents was a daunting task to say the least. I just didn't know what I didn't know. At the very least, I knew I needed help from an experienced franchise law firm to make sure I understood exactly what I was potentially getting myself into. After researching various firms, I reached out to Lanard and Associates and set up a consultation call with Nancy. The call with Nancy went great. She took the time to get to know me a bit, and made sure she understood what kind of help I was looking for. She was very transparent about what services her firm would provide, and how much money those services would cost. They weren't the most expensive or the least expensive of the firms I looked at, and I got a good vibe when we spoke, so the price was right for me. Kimberly Meyer was the attorney assigned to my case, and she lived up to everything that Nancy promised. Kimberly was very friendly and easy to work with. She spent a good 3 hours on the phone with me detailing all the pertinent parts of the documents, including the information that the documents did not contain. She was quick to respond to all of my follow-up questions regardless of how early or late in the day I emailed her. I think there was one day where Kimberly was on vacation and I had a question, but not to fear as Nancy was all over it! I felt informed and prepared going into my first Discovery Day, and with Kimberly's guidance, I was even able to negotiate some of the terms of the Franchise Agreement! Great communication throughout the entire process which is huge for me! I highly recommend working with Kimberley and Nancy when evaluating franchise brands, and franchisors.
May 19 · Kyle CrisciNancy definitely sets the standard for professional, responsive customer service, reviewing and giving advice to her clients in a timely, yet precise matter. She and her team did a great job for me, helping hover around my potential future business acquirement, and walked me through the process to seamlessly take my decision. More to that, Nancy and her team charge a flat fee, no hidden fees, no surprises... Their services cover all your needs and help you take your decision, and proceed with your business as it should. From reviewing the FDD and FA, to helping you set-up your entity and all what that entails. I would definitely recommend them, and would definitely work again with Nancy. Jessica and I can't thank you enough...
